All purchases to Vergy Ltd off line or online shall be subject to the following terms and conditions except special agreements. Any changes to these conditions are subject to our written approval.Pricing:All prices listed in our pages are exclusive of VAT and to be meant Ex-Works. They are displayed in £ (Grate British Pounds) and in € (Euros). Vergy reserves the right to carry out prices modifications whenever it should be felt necessary, without prior notice. The prices displayed in our pages shall be those in force on the date the order is placed.We try to ensure that all prices provided on our website are accurate. However, if exceptionally an error occurs while processing your order, we will inform you to request agreement of the correct price or to cancel the order. VAT:For orders placed outside the UK by registered trade buyers no VAT applies.Ordering:Orders can be made online of offline. Ordering online will be dealt quicker than placing an order offline.Payments:- First payment required:50 % with the order. The order is processed only on receipt of your payment. - Balance: Payment required before delivery or to be paid to our transporters in exchange for the goods delivered. In some cases full payment may be required with the order. For customers that have extended payment conditions, the date of payment is specified on the invoice and order confirmation. Interests for delayed payment will be calculated on the bank rates. Payments can be made by bank transfer or by cheque sent to our office. All our merchandise remains Vergy property until all outstanding invoices have been paid in full. All payment received by the buyer for merchandise sold to a third party are legally due to us until and unless full payment of all our outstanding claims is made. Cancellations:We will accept an order cancellation as long as it is stated in writing by the customer within five open days (Monday to Friday) following the order. This only if the manufacturing of the products has not started and if the dispatching of the good has not occurred.Delivery Period:The delivery periods provided on our website pages are for orders that do not require setting of furniture on customers’ delivery site or for orders that do not require grouping of items sourced from different manufactures (to select products from the same manufacture use the “view all products from this manufacture” button if available in the product page). If one or the other or both of those conditions occurs, the delivery period will be extended.Vergy follows up carefully the orders on the manufacturing and the transport/delivery process; this to guarantee the best delivery time. However, our delivery periods provided both on our website pages or confirmed in our estimates or order confirmations are indicative and not contractually binding. Thus, delays in manufacturing and delivery periods do not constitute a reason for liability or rights to compensation in any form, nor to cancellation of the order. Transport Cost:The shipping cost depends on the volume, weight, box number, distance and service requirements (the delivery options can be: Option 1 delivery to your door or Option 2 setting of furniture on site - See details on delivery options in the FAQS page under the ‘what are the delivery options?’ question).The delivery cost is added on line by Vergy once you press the “delivery cost request” at the bottom of your estimate page. This step is necessary to allow ordering. No order can be registered without the delivery charge added even if delivery is free of charge. Our transport and delivery partners are frequently reselected and provide competitive rates. Be assured that no margin is added by our company on logistic services. Complains:Possible complaints must be addressed directly to us in writing, within 8 days at the latest from the date of issue of the consignment note. After this period, no further complaints will be accepted and the possible delivery of replacement parts at customer’s request will be carried out at regular price.Transport risks and dangers are to be borne by the customer even if delivery is free of charge. It is the customer’s duty to check the state of packing and the correspondence of the delivered items mentioned on the consignment note. Possible discrepancies must be noted on the consignment note and communicated to the carrier responsible for the defects or missing parts. Return of goods:The return of goods must be previously agreed upon and authorized by Vergy. The replaced goods are charged at normal rate. The returned goods will be checked by us as soon as they reach our partner warehouse and then credited to the customer if it is justified by defaults. The goods must in any case be returned in their original packing.Except special agreements, we do not offset returned goods against goods delivered. Modifications and dimensions:Dimensions and furniture shape may be subject to slight variations in each production. These variations do not constitute a reason for liability nor to cancellation of the order except if states in righting by the customer.Upholstery and fabric:If you require specific use or arrangement of material to upholster your furniture (side of use, report about possible patterns…), you must provide all details with your order. Otherwise, our upholsterers will set the material as they think the most appropriate without farther request.In our WebPages, the fabric area required to upholster a product is indicated for fabrics that fit easily the furniture. You are required to check with us if your own material is suitable to upholster your furniture prior to sending it to us. In case the fabric you send us doesn’t fit properly the furniture ordered you will be required to send us additional quantities or another fabric if the fabric is not suitable. The parcels of orders that include “Customer Own Material” upholstery must reach our freight partner address, without any delivery charge. Note that some of our manufactures process orders and manufacturing only once the Customer Own Material is received. Therefore, to guarantee the shortest delivery time we advise you to send your materials at the same time as your order. Security and legislations related to the country where the products will be used.It is not possible for Vergy to be aware of technical products requirements related to local laws or decrees for every country (safety features; fire resistance of furniture frame materials, foam, upholstery materials and others). It is the responsibility of the buyer to check with us if our products meet the technical requirements prior ordering. If the products provided need to be modified or replaced to meet the technical requirements, the related goods, materials or the service will be charged at normal prices.Protection Rights:All our products are covered by patent and cannot be copied or modified.Confidentiality:We will use information we receive from customers to communicate with them, but otherwise, we will keep the details confidential and not disclose them to third parties unless requested by you or required by law.Competent court:All transactions carried out with Vergy are governed by English laws and are solely within the jurisdiction of English courts.Warning:This website, its text, designs, graphics, arrangement, and compilation of data is the copyright of Vergy Limited.
